These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “user,” or “you”) and Jenay Karlson Coaching (“Company,” “we,” “us,” or “our”) governing your access to and use of our website located at https://jenaykarlson.com (the “Website”) and any products, services, or content provided through or in connection with it (collectively, the “Services”). By accessing or using our Website or Services, you agree to be bound by these Terms.

1. Definitions

  • “Company,” “we,” “us,” “our” – Jenay Karlson Coaching, the service provider.

  • “Website” – The website located at https://jenaykarlson.com.

  • “Services” – All coaching, workshops, programs, digital products, and offerings provided by Jenay Karlson Coaching.

  • “User,” “you,” “your” – Any individual who accesses or utilizes the Website or Services.

  • “Parties” – Collectively, Jenay Karlson Coaching and the user.

2. Use of Website

You are authorised to use our Website strictly for lawful, private, and non-commercial activities and must comply with these Terms. You specifically agree not to:

  • Breach any relevant laws or government regulations.

  • Utilise the Website for sending spam or any form of unsolicited promotional communication.

  • Obstruct or disrupt the functionality or security of the Website.

  • Attempt unauthorised access to restricted sections of the Website or our internal systems.

3. Coaching Services Disclaimer

Coaching operates as a supportive, proactive framework for advancing personal and professional goals. This service is not a substitute for treatment provided by a licensed therapist, counselor, or medical professional. You hereby acknowledge:

  • The Coachee accepts full, exclusive responsibility for their well-being, including all decisions, choices, and outcomes related to their physical, mental, and emotional state during and following the coaching relationship. Therefore, the Coachee understands that the Coach disclaims all liability for any action or inaction taken by the Coachee, or for any consequence, whether immediate or delayed, that results from the coaching services.

  • Coaching does not treat or diagnose mental disorders as defined by the American Psychiatric Association and is not to be used as a substitute for counseling, therapy, mental health care, substance abuse treatment, or other professional advice by legal, medical, or other qualified professionals.

  • No specific outcomes or results are guaranteed.

4. Service Offerings

Current services may include:

  • Personalised Coaching: Private virtual or in-person sessions

  • Group Coaching: Virtual or in-person sessions

  • Workshops

  • Public Speaking

5. Rescheduling and Cancellation Policy

We aim to maintain fairness and consistency across all client interactions. The following policies apply to private coaching sessions:

  • Notice Requirement: Sessions may be rescheduled with at least 24 hours’ notice prior to the scheduled time. Requests made with less than 24 hours’ notice will result in forfeiture of the session (i.e., the session is charged in full and no refund is issued).

  • Rescheduling Limits: Each prepaid session may be rescheduled twice. The rescheduled session must be completed within 30 calendar days of the original appointment, or the session fee will be forfeited.

  • Company Cancellation: If the Company must cancel a session for any reason, the Client will be immediately offered a reschedule or a full refund for that specific session.

  • Emergencies: In the event of a documented emergency (personal health, family emergency, or significant life event), additional flexibility may be offered at the sole discretion of the Company.

6. Fees and Payment

Payment is required in full at the time of purchase unless an installment plan is explicitly offered and agreed upon. Payments are securely processed via third-party platforms. Failure to complete payment may result in suspended access to Services.

7. Privacy and Confidentiality

Your privacy and the handling of your personal data are detailed in our separate Privacy Policy, which is incorporated into these Terms by reference.

Confidentiality is essential to our coaching relationship. We will not disclose any information pertaining to the Coachee without the Coachee’s written consent, except:

  • When required by statute, lawfully issued subpoena, or by court order to disclose;

  • If the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Coachee or others;

  • If the information involves illegal activity;

  • For professional verification purposes (your name, contact information, and start and end dates of coaching may be shared with staff members and/or other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship; no personal notes will be shared);

  • For professional development purposes, where topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and/or consultation purposes.

Please note that the Coach-Coachee relationship is not considered a legally confidential relationship (like the medical and legal professions), and thus communications are not subject to the protection of any legally recognized privilege. Do not share sensitive matters via email or text, please discuss these during sessions.

8. Intellectual Property

All content provided through the Website and Services—text, visuals, branding, materials—is the exclusive property of Jenay Karlson Coaching or its licensors. You may not copy, share, modify, or republish any content without written permission.

9. Third-Party Links

We may at times include links to third-party websites. We are not responsible for their content, services, or accuracy. Accessing these sites is at your own risk.

10. Disclaimer of Warranties

Except as expressly provided in this Agreement, the Coach makes no guarantees, representations, or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon, and rendered. We do not guarantee uninterrupted or error-free service or that the Website will be free from viruses or harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, Jenay Karlson Coaching shall not be liable for any indirect, consequential, or special damages, including lost profits, business interruption, or data loss resulting from use of the Website or Services. Notwithstanding any damages that the Coachee may incur, the Coach’s entire liability under this Agreement, and the Coachee’s exclusive remedy, shall be limited to the amount actually paid by the Coachee to the Coach under this Agreement for all coaching services rendered through and including the termination date. Your sole remedy is to discontinue use.

12. Indemnification

You agree to indemnify and hold harmless Jenay Karlson Coaching, its agents, and affiliates from any claims, losses, or expenses arising out of your violation of these Terms or misuse of the Services.

13. Termination of Coaching Relationship

Either the Client or the Coach may terminate this Agreement at any time with one week written notice. Upon termination:

  • The Client agrees to compensate the Coach for all coaching services rendered through and including the effective date of termination.

  • Any unused, prepaid sessions that are not subject to forfeiture under Section 5 will be refunded to the Client in full.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict of law provisions. You and the Company agree that any disputes arising from these Terms or the Services will be resolved by the courts of New South Wales, Australia. Notwithstanding the foregoing, this exclusive jurisdiction clause does not limit any mandatory consumer protection rights that may apply to you in your country of residence, where such rights cannot be waived.
